1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Clario.ai GmbH, Musterstraße 123, 10115 Berlin, Germany ("Clario", "we", "us") governing your access to and use of the Clario.ai platform, including all associated websites, applications, APIs, and services (collectively, the "Service").
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 18 years of age to use the Service. By using Clario, you represent that you meet this requirement.
2. Description of Service
Clario.ai is an AI-powered document management platform designed to help individuals and businesses organize, analyze, translate, and act on their documents. The Service includes, but is not limited to:
- Document upload, OCR, and automated text extraction
- AI-powered document classification, summarization, and analysis
- Document translation across 100+ languages
- Deadline tracking, calendar integration, and automated reminders
- AI chat assistant ("Lexi AI") for document-based queries
- Document generation from templates
- Multi-channel intake (web, email, Telegram, WhatsApp)
3. User Accounts
3.1 Registration. You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
3.2 Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately at security@myclario.app if you suspect unauthorized access.
3.3 Account Termination. You may delete your account at any time through Settings. Upon deletion, all your personal data and documents will be permanently removed within 30 days, in accordance with our Privacy Policy.
4. Subscriptions, Billing, and Refunds
4.1 Plans. Clario offers a free plan with limited features and paid subscription plans with enhanced capabilities. Plan details, pricing, and feature comparisons are available on our Pricing page.
4.2 Billing. Paid subscriptions are billed on a recurring monthly or annual basis via our payment processor, Stripe. All prices are in Euros (€) and inclusive of applicable VAT for EU customers. You authorize Clario to charge your payment method at the start of each billing cycle.
4.3 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date. No partial refunds are issued for unused portions of a billing cycle.
4.4 Refund Policy. If you are dissatisfied with the Service, you may request a full refund within 14 days of your initial subscription purchase. Refund requests should be sent to billing@myclario.app.
4.5 Price Changes. We may adjust subscription prices with at least 30 days' notice. Existing subscribers will be notified via email before any price change applies to their account.
5. Document Processing and AI Services
5.1 Your Content. You retain full ownership of all documents and data you upload to Clario ("Your Content"). By uploading, you grant Clario a limited, non-exclusive license to process Your Content solely to provide the Service to you.
5.2 AI Processing. Your documents are processed using artificial intelligence, including third-party AI models (e.g., OpenAI), for the purposes of text extraction, classification, summarization, translation, and analysis. Document content sent to AI providers is used solely for processing your request and is not used for model training.
5.3 AI Disclaimer. AI-generated outputs (summaries, classifications, translations, insights, and suggested actions) are provided for informational purposes only. They do not constitute legal, financial, tax, or professional advice. You should independently verify AI outputs before making decisions based on them. Clario is not liable for actions taken in reliance on AI-generated content.
5.4 Processing Consent. You may opt out of AI-powered processing at any time in your account Settings. Opting out will disable automated analysis features while preserving basic document storage functionality.
6. Acceptable Use Policy
You agree not to use the Service to:
- Upload, store, or distribute content that is illegal, harmful, or infringes on third-party rights
- Upload malware, viruses, or any malicious code
- Attempt to gain unauthorized access to the Service or other users' data
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scrapers) to access the Service without authorization
- Circumvent usage limits, rate limits, or security mechanisms
- Use the Service to spam, harass, or engage in fraudulent activities
- Resell or redistribute the Service without written permission
We reserve the right to suspend or terminate accounts that violate this policy, with or without prior notice.
7. Intellectual Property
7.1 Our IP. The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Clario.ai GmbH and protected by applicable copyright, trademark, and other laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
7.2 Your IP. You retain all intellectual property rights in Your Content. Clario does not claim ownership of any documents or data you upload.
7.3 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant Clario a non-exclusive, royalty-free license to use and incorporate such feedback without obligation.
8. Availability and Support
8.1 Uptime. We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Support. Support is provided via email at support@myclario.app. Response times depend on your subscription plan.
8.3 Modifications. We may modify, update, or discontinue features of the Service at any time. Material changes will be communicated to active users with reasonable advance notice.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Clario shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of or inability to use the Service.
- Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to Clario in the 12 months preceding the claim.
- Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold Clario, its officers, employees, and partners harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.
11. Governing Law and Dispute Resolution
11.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles.
11.2 Jurisdiction. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany, unless mandatory consumer protection laws of your country of residence provide otherwise.
11.3 EU Dispute Resolution. The European Commission provides a platform for online dispute resolution at https://ec.europa.eu/consumers/odr/. We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
12. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated via email or an in-app notice at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
